Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Engauge fleet management platform ("Service"), operated by Engauge ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms
By signing up for an Engauge account, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy. If you are using Engauge on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.
2. Eligibility
You must be at least 18 years old to use Engauge. By creating an account, you confirm that you meet this requirement. Engauge is designed for use by businesses, not consumers. If you are registering on behalf of a company, you represent that you have the legal authority to enter into contracts on its behalf.
3. Account Responsibilities
You are responsible for:
- Keeping your login credentials secure and confidential. Do not share your password.
- All activity that occurs under your account, whether or not you authorized it.
- Providing and maintaining accurate, current, and complete account information.
- Promptly notifying us at support@engauge.app if you suspect unauthorized access to your account.
We reserve the right to suspend or terminate accounts where we have reason to believe credentials have been compromised or the account is being misused.
4. Subscriptions and Billing
Subscription Plans
Engauge is offered on a subscription basis with tiered plans. Details about available plans and pricing will be published on our website before launch.
Billing
Subscriptions are billed on a recurring basis (monthly or annually, depending on your selected plan). Billing is processed through Stripe. By subscribing, you authorize Stripe to charge your payment method on the applicable billing cycle.
Cancellation
You may cancel your subscription at any time from your account settings. Your access continues until the end of the current billing period. We do not issue refunds for unused time in a billing period unless required by applicable law.
Price Changes
We may change subscription prices with at least 30 days' advance notice. Price changes take effect at the start of your next billing cycle after the notice period.
Taxes
You are responsible for any applicable taxes on your subscription fees. Where required, we may collect and remit taxes on your behalf.
5. Data Ownership
You own the data you enter into Engauge — including vehicle records, booking information, expense data, maintenance logs, and customer details. By using the Service, you grant us a limited, non-exclusive license to store, process, and display your data solely as necessary to operate and improve the Service. We will not use your business data for any other purpose without your explicit consent.
Data Exports. The Service may allow you to export your data in various formats (e.g., CSV, PDF). Exported data is provided as-is, and you are responsible for verifying its accuracy and completeness before using it for tax reporting, financial analysis, or any other purpose. Engauge is not liable for decisions made based on exported data.
You are responsible for the accuracy, legality, and proper authorization of all data you enter into the Service.
6. Intellectual Property
Engauge and all its components — including the software, design, trademarks, logos, and content we produce — are owned by Engauge and protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.
Feedback, suggestions, or ideas you share with us may be used by Engauge without obligation or compensation to you.
7. Acceptable Use
You agree to use Engauge only for lawful purposes and in accordance with our Acceptable Use Policy, available at engauge.app/acceptable-use. Prohibited conduct includes but is not limited to illegal activity, scraping, reverse engineering, and unauthorized access attempts. Violations may result in suspension or termination of your account.
8. Limitation of Liability
No Warranty
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
Liability Cap
To the fullest extent permitted by applicable law, Engauge's total liability to you for any claims arising from or related to these Terms or the Service — whether in contract, tort, or otherwise — is limited to the fees you actually paid to Engauge in the 12 months immediately preceding the event giving rise to the claim.
Exclusion of Consequential Damages
Neither party will be liable to the other for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or business interruption — even if advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
9. Termination
By You
You may terminate your account at any time by canceling your subscription and requesting account deletion via support@engauge.app.
By Us
We may suspend or terminate your account if you violate these Terms, engage in prohibited conduct, fail to pay subscription fees, or for any other reason with reasonable notice where practicable.
Data After Termination
Following termination, your data will remain accessible for 30 days to allow you to export it. After that period, your data will be permanently deleted, except where we are required to retain certain records by law.
10. Governing Law
These Terms are governed by the laws of the State of [State], United States, without regard to its conflict of law provisions. Any disputes arising under these Terms will be resolved in the state or federal courts located in [State].
11. Changes to These Terms
We may update these Terms from time to time. For material changes, we will notify you by email at least 30 days before the changes take effect. The updated Terms will be posted at engauge.app/terms. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance.
12. Entire Agreement
These Terms, together with our Privacy Policy, Cookie Policy, and Acceptable Use Policy, constitute the entire agreement between you and Engauge regarding the Service and supersede any prior agreements.
